Terms of sale

• All prices subject to prior sale. Please note we have a $500.00 USD minimum within a purchase order that is necessary to reduce overall costs. All orders under $500 therefore, require a $25 handling fee.
• All target prices/negotiations welcome. All prices quoted based on Ex-warehouse San Antonio, TX USA.
• Payments by USD by Bank Draft against Proforma Invoice, Sight Draft payments and Letter of Credit*
• Email Communication preferred supplemented by fax
• We offer only new parts and carry only our limited Warranty. If PO does not mention Date Code, we will not be restricted to any Date Code and can supply any available Date Codes
• We make our purchases against Customer Orders and therefore all POs are NCNR.

Letter of Credit terms

The LC needs to be IRREVOCABLE and issued by SWIFT or TELEX and subject to UCP500.

• Tolerance Amount 10%
• Expiry Date: 60 days
• Expiry Place: USA
• The LC must be available with a Bank in USA by negotiation or sight basis
• Partial and/or Transshipments allowed
• Shipment from San Antonio, TX
• Insurance by Buyer
• Shipment by Air
• Description of goods: Electronic Components
• Documents to be presented to the Negotiating Bank within 21 days after shipment
• All banking charges in/outside the US are for a/c of Applicant
• Shipment will be affected after we receive the LC satisfactory to us and acceptable to our Bank.

LIMITED WARRANTY

Seller (Fountainhead Solutions) is acting solely as a reseller of parts. Seller warrants that new parts will conform to the manufacturer's original specifications. Seller warrants that parts will be free from defects in materials and workmanship for 30 days from invoice when used in normal use. This limited warranty is only for the benefit of buyer and is not transferable.

THE LIMITED WARRANTY PROVIDED ABOVE IS SELLERS EXCLUSIVE WARRANTY. ALL PARTS ARE SOLD AS NEW. SELLER MAKES NO OTHER WARRANTY OF ANY KIND WHATSOEVER, EITHER EXPRESS, IMPLIED OR STATUTORY, RELATING TO THE PARTS INCLUDING, WITHOUT LIMITATION, THE DESIGN AND CONDITION OF THE PARTS OR THEIR QUALITY, CONSTRUCTION, CAPACITY, SUITABILITY, PERFORMANCE, MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR APPLICATION.

Buyer's failure to satisfy all of the following requirements will void seller's limited warranty: (1) Buyer shall have 30 days from invoice to examine or use the part to determine if there is any damage or defect: (2) if buyer believes that there is damage to or a defect in a part, seller must receive from buyer a written request for a return material authorization (RMA) for the part: (3) buyer must submit at buyers sole cost, test report and (4) buyer must return to the seller, within 30 days from buyer's receipt of the part, each of (a) the completed and signed RMA form, (b) the test report Seller shall furnish the RMA form to the buyer upon buyer's written request with test report. Seller requires buyer to return the parts prepaid to seller as a condition of this limited warranty.

LIMITED LIABILITY

Seller's sole obligation for a part which seller determines to be damaged or defective under the foregoing procedure is expressly limited, at seller's option, either (i) to refunding the purchase price to buyer or (ii) to repairing or, at seller's option, replacing the part. No repair or replacement of a part will extend the original 30-day warranty period of the part. After 30 days of Invoice, restocking fees may apply.

IN NO EVENT SHALL SELLER BE LIABLE FOR ANY SHIPPING OR TRANSPORTATION CHARGES, OR ANY COSTS OF INSTALLATION OR ANY SPECIAL, DIRECT, INDIRECT, PUNITIVE OR CONSEQUENTIAL DAMAGES INCLUDING, BUT NOT LIMITED TO, LOSS OF CUSTOMERS OR OTHER THIRD PARTIES. THE REMEDIES STATED HEREIN ARE EXCLUSIVE AND SELLER'S LIABILITY, UNDER ANY WARRANTY, OR OTHERWISE, SHALL NOT EXCEED THE PRICE OF THE PART OR IT'S REPAIR OR REPLACEMENT AS PROVIDED ABOVE
